3D Medicines sets 30 June 2026 AGM to seek 20% share-issue mandate, 10% buy-back limit and board re-elections

3D Medicines Inc. has released its AGM circular, detailing resolutions to be voted on 30 June 2026 in Beijing.

Key proposals • General mandate to issue new shares equal to up to 20% of the 258.18 million issued shares (i.e. a maximum of 51.64 million shares). The mandate may be enlarged by shares bought back under the repurchase mandate. • Authorisation to repurchase up to 10% of issued shares, equivalent to 25.82 million shares, with flexibility to hold repurchased stock as treasury shares in line with forthcoming Listing Rule amendments. • Re-election of three directors: Executive Director and Chair/CEO Dr Gong Zhaolong; Non-executive Directors Mr Zhou Feng and Ms Chen Yawen. • Re-appointment of Modern Assure CPA Limited as external auditor for FY 2026 at an estimated pre-tax fee of RMB 2.88 million.

Timetable and administrative details • Share register closes 25–30 June 2026; transfers must be lodged by 24 June to qualify for voting. • Proxy forms must be submitted by 10:00 a.m. on 28 June 2026. • All AGM resolutions will be decided by poll.

Capital structure snapshot (as at 29 May 2026) • Issued and fully paid shares: 258.18 million. • Dr Gong Zhaolong holds 77.09 million shares (29.86%); an additional 33.18% threshold would be crossed if the buy-back mandate were exercised in full, potentially triggering a mandatory offer under the Takeovers Code.

The board recommends shareholders vote in favour of all resolutions.
