Holly Futures announced that the shareholding-reduction plan initiated by its controlling shareholder’s subsidiary, SOHO Holdings Group Zhong Shan Company Limited, has expired. During the plan, Zhong Shan Company disposed of 12.56 million H shares through centralized bidding.
Following the completion of the sales, parent group Jiangsu SOHO Holdings Group Co., Ltd. now holds a combined 493.67 million shares in Holly Futures, equal to 48.99% of the company’s total issued share capital. The post-transaction structure is as follows:
• Direct holdings: SOHO Holdings retains 275.46 million A shares, representing 27.33% of the total shares.
• Indirect A-share holdings: Through concerted parties Soho Holly Corporation, Jiangsu Soho High Hope Group Corporation and Jiangsu Holly International Logistics Corporation, SOHO Holdings controls 206.52 million A shares, or 20.49% of the company.
• Indirect H-share holdings: Zhong Shan Company holds 11.69 million H shares, equal to 1.16% of total shares.
Despite the reduction, SOHO Holdings continues to be Holly Futures’ controlling shareholder. The company stated that the concluded shareholding-reduction plan has no material impact on its operations, financial position or future development.
