The private placement, aiming to raise no more than 7.04 billion yuan, represents a significant capital move for the company. Recently, Zhenghe Industry gained public attention by developing top-tier chain drive systems for the high-profile Zhang Xue motorcycles, bringing this behind-the-scenes "hidden champion" into the spotlight. According to the company's private placement prospectus, the 7.04 billion yuan will be allocated to three key areas: expanding production of agricultural machinery components, integrated R&D and manufacturing of micro-chain system hardware and software, and supplementing working capital. This strategic allocation underscores the company’s intent to strengthen its foothold in vehicle chain systems while advancing into high-end agricultural machinery and micro-industrial chain sectors.
The largest portion, 431 million yuan, will fund the expansion of agricultural machinery components. As a leading domestic producer of agricultural machinery chain systems, Zhenghe Industry has maintained the top comprehensive market share in China for ten consecutive years. The expansion will focus on core products such as agricultural chains, blades, and soil-engaging components. With growing demand for domestic alternatives to high-end global agricultural parts, and considering blades as consumables with stable demand and strong aftermarket potential, this investment is expected to enhance production capacity, expand market share, and solidify the company’s leading position. Zhenghe’s agricultural chain systems benefit from synergies with its motorcycle chain technologies, forming a dual-drive business structure.
The second project, involving 153 million yuan, targets the integrated R&D and manufacturing of micro-chain systems—a focus on new productive forces. Micro-chain systems are critical components in emerging fields such as robotics, embodied intelligence, and precision instruments, known for high precision, light weight, and long service life. This investment marks a strategic step for Zhenghe to enter cutting-edge technology, cultivate new growth areas, and transition from traditional chain manufacturing to high-end precision production.
The third allocation, 120 million yuan, will supplement working capital to optimize the capital structure and ease operational funding pressure. As of the end of 2025, Zhenghe Industry reported a debt-to-asset ratio of 45.05%, with total liabilities reaching 1.164 billion yuan. The private placement not only supports production expansion but also aims to improve the balance sheet, reduce financial costs, and reserve resources for potential mergers or R&D initiatives.
The attention surrounding this fundraising is closely tied to the recent high-profile success of Zhang Xue motorcycles in world-class competitions, for which Zhenghe Industry serves as a core technical partner. On March 28–29, at the World Superbike Championship (WSBK) Portuguese round, Zhang Xue motorcycles achieved a double victory, breaking the long-standing dominance of European, American, and Japanese brands. This triumph was supported by Zhenghe’s custom-made racing-grade chain drive systems, co-developed with Zhang Xue, which function as the "power channels" of the championship bikes, ensuring stable and reliable power transmission and enabling peak performance.
As a leader in China’s chain drive industry, Zhenghe has held the top market share in motorcycle chain systems for ten years, supplying major global brands including Honda, CFMoto, Yamaha, and Suzuki. In 2025, the company’s net cash flow from operating activities reached 350 million yuan, up 24.18% year-on-year, reflecting strong market pricing power and efficient receivables management.
The brand effect from Zhang Xue’s victory has also boosted market recognition of Zhenghe’s high-end chain products, particularly with strong pre-sales orders for the civilian version of the championship model.
