Chaoju Eye Care Holdings Limited (“Chaoju Eye Care”) disclosed that its wholly owned subsidiary, Chaoju Eye Care (HK) Company Limited, has subscribed for a principal-protected structured deposit worth USD31.80 million with JPMorgan Chase Bank, N.A. on 10 June 2026.

The investment, named “USD Structured Deposit Linked to 10Y CGB Yield,” spans from 11 June 2026 to 11 June 2027. Interest on the product is variable, calculated as 3.95% plus 0.10% multiplied by the ratio of days during the interest period when the 10-year ChinaBond Government Bond Yield Curve rate is below 0%. Principal is guaranteed at maturity, though the final interest amount will depend on the referenced yield’s daily movements.

Funding for the subscription derives solely from the Group’s surplus operating cash, separate from proceeds raised in its prior Global Offering. Management emphasized that internal controls are in place to ensure the investment does not constrain working capital and aligns with the Group’s treasury policy aimed at optimizing returns on idle funds.

Under Hong Kong Listing Rules, the size of the transaction triggers discloseable transaction thresholds (applicable percentage ratios exceeding 5% but below 25%). Consequently, it requires public announcement and reporting but is exempt from shareholder approval and circular requirements.

Chaoju Eye Care operates 32 ophthalmic hospitals and 32 optical centers across seven provincial-level regions in China, positioning itself as a leading ophthalmic medical service provider in North China.
