China ZhengTong Auto Services Holdings Limited has signed an IT Services Framework Agreement with Xiamen Xindeco Digital Intelligence Technology Co., Ltd. on 1 June 2026.

Regulatory classification ITG Holding is the company’s controlling shareholder and Xindeco Digital is an associate; the agreement is therefore deemed a continuing connected transaction under Chapter 14A of the Hong Kong Listing Rules. As the highest cap exceeds HK$3 million and the largest percentage ratio is above 0.1 % but below 5 %, the transaction requires announcement, reporting and annual review but is exempt from circular and independent shareholders’ approval.

Strategic rationale Post-acquisition integration of Xindeco ITG Automobile Group demands specialised IT support. Xindeco Digital’s expertise in digital intelligence and data operations is expected to secure business continuity, mitigate migration risk and enhance the group’s technology capabilities while streamlining compliance procedures by consolidating multiple IT arrangements into a single framework.
