Huishang Bank Sets 30 Jun 2026 AGM; FY25 Net Profit Up 6.34%, Proposes RMB3.47 Bln Dividend and Seeks Fresh Share-Issue Mandate

Huishang Bank (03698) will hold its 2025 Annual General Meeting (AGM) on 30 June 2026 in Hefei, Anhui. Shareholders will vote on 11 resolutions, including approval of FY25 results, a RMB1.77 billion capital‐expenditure budget for 2026 and several capital-raising mandates.

• FY25 PERFORMANCE – Total assets reached RMB2,326.09 billion, up 15.51% year on year. – Gross loans increased 12.80% to RMB1,130.49 billion; customer deposits rose 11.17% to RMB1,266.20 billion. – Operating revenue grew 1.18% to RMB37.67 billion; net profit rose 6.34% to RMB16.93 billion. – Net interest margin stood at 1.49%, down 22 bp; ROE was 11.51%, down 0.35 ppt. – NPL ratio improved 1 bp to 0.98%; provision coverage was 278.79%. – Capital adequacy ratio inched up 5 bp to 13.77%; core Tier 1 ratio was 9.89%.

• DIVIDEND PROPOSAL The Board recommends a cash dividend of RMB2.5 (tax-inclusive) per 10 shares, totalling about RMB3.47 billion. The share register will close 8–13 July 2026; dividends are expected on 21 August 2026 to holders on record 13 July 2026.

• CAPITAL MANAGEMENT & FUNDING – Directors seek a fresh 12-month general mandate to issue up to 20% of existing share capital, covering both H and future A shares. – Validity of the long-planned Shanghai A-share IPO (up to 1.5 billion shares) and its related Board authorisation will be extended by another year to 29 June 2027. – The Bank completed a RMB10 billion Tier-2 capital bond in December 2025.

• OTHER AGM ITEMS – Re-appointment of KPMG Huazhen LLP (domestic) and KPMG (international) as 2026 auditors; total fee set at RMB4.11 million. – Determination of 2024 remuneration: Executive Directors Yan Chen and Kong Qinglong at RMB8.65 million each; Supervisor He Jiehua at RMB8.62 million. – Shareholders will receive reports on Board, Supervisory and senior management performance, related-party transactions and implementation of prior resolutions.

AGM proxy forms must be lodged by 9:00 a.m. on 29 June 2026. H-shareholders wishing to attend must complete registration by 10 June 2026. The Hong Kong share register closes 31 May–30 June 2026 for meeting eligibility.
