Qeeka Home Schedules 21 May 2026 AGM; Agenda Covers 2025 Results, Board Refresh, 20% Issue Mandate and 10% Buy-back Authority

Qeeka Home (Cayman) Inc. will convene its Annual General Meeting on 21 May 2026 at 10:30 a.m. in the Noah Conference Room 3, Crowne Plaza Shanghai Noah Square, Shanghai. Shareholders on record as of the same date are eligible to vote; the register of members will be closed from 18 May 2026 to 21 May 2026 to facilitate this process, with share transfers required to be lodged by 4:30 p.m. on 15 May 2026.

Key resolutions to be tabled:

1. 2025 Financial Statements and Reports – Shareholders will consider and adopt the audited consolidated financial statements for the year ended 31 December 2025 together with the directors’ and auditor’s reports.

2. Board Composition and Remuneration – Executive Director: Mr. Tian Yuan seeks re-election. – Independent Non-Executive Directors: Mr. Zhang Lihong and Mr. Cao Zhiguang are nominated for re-election. – The meeting will authorise the board to fix directors’ remuneration.

3. Auditor Re-appointment – BDO Limited is proposed for re-appointment, with audit fees to be set by the board.

4. General Mandate to Issue Shares – Directors may allot, issue or dispose of additional shares up to 20% of the company’s issued share capital (excluding treasury shares) during the mandate period. – The mandate extends to the grant of options, warrants, bonds or debentures convertible into shares.

5. Share Repurchase Mandate – The board may repurchase up to 10% of the company’s issued share capital (excluding treasury shares) on the Hong Kong Stock Exchange or other recognised exchanges, subject to prevailing regulations.

6. Extension of Issue Mandate – Subject to the passage of the above mandates, the share issue limit will be increased by the number of shares actually repurchased under the buy-back authority, capping the extension at 10% of issued share capital.

Proxy appointments must reach Tricor Investor Services Limited no later than 48 hours before the meeting.

As at the notice date of 28 April 2026, the board comprises nine directors: three executive, three non-executive and three independent non-executive members.
