Old Chang Kee (5ML) shareholders pass all resolutions, sanction 2.0-cent dividend at Jul, 21 2026 AGM

Old Chang Kee (5ML) announced that all eight resolutions tabled at its 21st annual general meeting on Jul, 21 2026 were approved by shareholders.

Key outcomes include:

• Adoption of the Directors’ Statement and audited financial statements for the financial year ended Mar, 31 2026, with 100.00% of votes in favour.

• Approval of a final tax-exempt (one-tier) dividend of 2.0 Singapore cents per ordinary share for FY2026 (99.98% approval).

• Authorisation of S$164.0 thousand in directors’ fees for FY2027, payable quarterly in arrears (99.95% approval).

• Re-election of Executive Chairman Han Keen Juan and Chief Executive Officer Lim Tao-E William as directors, both securing 99.99% shareholder support.

• Re-appointment of Ernst & Young LLP as auditor, with directors authorised to fix its remuneration (99.96% approval).

• Renewal of the 10% share buy-back mandate (100.00% approval).

• Granting of general authority to directors to issue new shares and instruments up to 100% of the company’s issued share capital, with a sub-limit of 50% for non pro rata issues (83.09% approval).

The meeting also featured a question-and-answer session where management outlined cautious domestic store expansion, selective overseas growth, opportunities in business-to-business sales, ongoing cost-control measures amid rising wages and input costs, and a continued commitment to halal product offerings.

The AGM concluded at 2:41 p.m. with a vote of thanks to shareholders.
