DPC Dash Ltd has released its circular for the 28 May 2026 annual general meeting (AGM), which will be conducted entirely online. Key resolutions to be tabled include fresh authorisations for share issuance and repurchase, re-election of three directors, re-appointment of the auditor and adoption of a new memorandum and articles of association (M&A).
Share Capital and Mandates • Issued share capital stands at 131.56 million ordinary shares, each with a par value of US$1.00. • Share Issue Mandate: Directors seek authority to allot, issue or transfer up to 20% of issued shares, equal to 26.31 million shares, during the mandate period. • Repurchase Mandate: The Board requests approval to buy back up to 10% of issued shares, representing 13.16 million shares. • Extension Mandate: Shares repurchased under the buyback mandate can be added to the issuance limit, potentially increasing issuance headroom beyond 20%.
Director Re-election The following directors retire by rotation and offer themselves for re-election: 1. Yi Wang – Executive Director & Chief Executive Officer 2. Weiking Ng – Non-executive Director 3. Bin Yu – Independent Non-executive Director
Auditor PricewaterhouseCoopers is nominated for re-appointment as auditor until the next AGM, with the Board authorised to fix remuneration.
Corporate Governance Update Shareholders will vote on adopting a tenth amended and restated M&A to formalise: • Virtual or hybrid general meetings with electronic voting; • Electronic dissemination of corporate communications; • House-keeping updates to align with current regulatory requirements.
