NETJOY Holdings Limited will convene its Annual General Meeting at 11:00 a.m. on Monday, 3 August 2026, in Shanghai (Conference Room, 7/F, Building 3, Science and Technology Oasis Phase IV, No. 889 Tianlin Road, Minhang District). The shareholder register will be closed from 29 July to 3 August 2026, with 28 July 2026 set as the last day to lodge share transfers for AGM eligibility.
Key resolutions to be tabled include:
• Financial Statements: Shareholders will consider and adopt the audited consolidated financial statements for the year ended 31 December 2024 together with the reports of the board and independent auditor.
• Board Composition: Votes will be cast on the re-election of Mr. Dai Liqun (non-executive director) and Ms. Cui Wen (independent non-executive director).
• Director Remuneration: The board seeks authority to determine directors’ remuneration.
• Auditor Reappointment: Ernst & Young is nominated for reappointment as external auditor, with the board authorised to fix its remuneration.
• Share Issuance Mandate: Directors request a general mandate to allot, issue or deal with additional shares, securities convertible into shares, and treasury shares up to 20.00% of the company’s issued share capital (excluding treasury shares) as at the date of the AGM. The mandate would also allow issuance of equity-linked securities and remain effective until the earlier of: 1) the conclusion of the next AGM, 2) the expiry of the statutory period for holding the next AGM, or 3) revocation or variation by shareholders in general meeting.
• Share Repurchase Mandate: A separate mandate authorises the board to repurchase shares on the Stock Exchange or other recognised markets up to 10.00% of issued share capital (excluding treasury shares) during the same Relevant Period.
• Mandate Extension: Conditional on passing the above two mandates, the directors may extend the issuance mandate by the number of shares repurchased, effectively permitting a further 10.00% issuance headroom.
Proxy forms must reach Tricor Investor Services Limited by 11:00 a.m. on 1 August 2026. All AGM resolutions will be decided by poll pursuant to Hong Kong Listing Rules.
As of the notice date (10 July 2026), NETJOY’s board comprises one executive director (Mr. Xu Jiaqing, Chairman), two non-executive directors (Mr. Dai Liqun, Mr. Wang Jianshuo) and three independent non-executive directors (Mr. Chen Changhua, Dr. Ru Liyun, Ms. Cui Wen).
