Zhuguang Holdings Announces 22 June 2026 AGM; Board Seeks Share Issue & Buy-Back Mandates

Zhuguang Holdings Group Company Limited has issued a notice convening its 2026 annual general meeting (AGM) for 2:30 p.m. on Monday, 22 June 2026 at Meeting Room No. 3, 19/F., Zhuguang Xincheng International Centre, Guangzhou.

Key items to be tabled:

1. 2025 Financial Statements • Shareholders will vote on the adoption of the audited consolidated financial statements and the directors’ and auditor’s reports for the year ended 31 December 2025.

2. Board Composition and Remuneration • Each retiring director will stand for re-election by separate resolutions. • The board will seek authority to set directors’ remuneration.

3. Auditor Re-appointment • BDO Limited is nominated for re-appointment as external auditor, with the board authorised to determine its fees.

4. General Mandates • Share Issue Mandate: Authority for the board to allot, issue or deal with new shares up to 20% of the company’s issued share capital (excluding treasury shares) as at the date of the AGM, plus an additional amount equal to any shares repurchased after the meeting (up to a 10% cap). • Share Buy-Back Mandate: Authority to repurchase up to 10% of issued shares (excluding treasury shares) on the Hong Kong Stock Exchange or other recognised exchanges. • Extension Mandate: Conditional extension of the issue mandate by the number of shares repurchased under the buy-back mandate, capped at 10% of issued share capital.

Administrative Details • Record Date: Monday, 15 June 2026. Only shareholders on the register by 4:30 p.m. that day may attend and vote. • Proxy Deadline: Completed proxy forms must be lodged with Tricor Investor Services Limited by 2:30 p.m. on Saturday, 20 June 2026. • Joint Holders: The senior joint holder present in person or by proxy will be entitled to vote.

Current Board Composition The board comprises six executive directors—Chu Hing Tsung (Chairman), Liu Jie (CEO), Liao Tengjia (Deputy Chairman), Huang Jiajue (Deputy Chairman), Chu Muk Chi and Ye Lixia—and three independent non-executive directors—Leung Wo Ping JP, Wong Chi Keung and Dr. Feng Ke.
