Luzhu Biotech to Hold 12 June 2026 AGM; Seeks 20% New Share Mandate, 10% Buy-back Authority and HK$53.50 Million IPO-Funds Reallocation

Beijing Luzhu Biotechnology Co., Ltd. (LUZHU BIOTECH-B) has convened its 2026 Annual General Meeting for 10:00 a.m. on 12 June 2026 at its Beijing headquarters. Shareholders on record as of the same date may vote, with the register of members closed from 9–12 June 2026.

Key ordinary resolutions: • Approval of the 2025 annual report, Board, Supervisory Board and independent non-executive directors’ work reports. • Endorsement of the 2025 profit‐distribution plan (details not disclosed in the notice). • Re-appointment of Deloitte Touche Tohmatsu as external auditor for 2026 and authorization for the Board to set audit fees.

Key special resolutions: • General mandate to issue up to 20% of the Company’s issued shares (excluding treasury shares) during the mandate period, including the ability to issue convertible securities and transfer treasury shares. • Authority to repurchase up to 10% of issued H shares, with a concurrent extension allowing the issuance mandate to be increased by the volume of shares actually repurchased. • Approval for the Board to arrange credit facilities and related guarantees, effective until the next AGM. • Reallocation of approximately HK$53.50 million in net proceeds from the Company’s Hong Kong IPO: – HK$20.00 million (37.4%) redirected to pre-clinical R&D, clinical trial applications, clinical studies and team expansion for the recombinant RSV vaccine project; – HK$27.60 million (51.6%) redirected to clinical trial expenses for LZ901; – HK$5.90 million (11.0%) assigned to working capital and general corporate purposes.

Voting format: All resolutions will be decided by poll. Shareholders unable to attend may appoint proxies by submitting forms to Tricor Investor Services Limited by 10:00 a.m. on 11 June 2026.
