Keppel Infrastructure Trust completes purchase of additional 39% stake in Keppel Merlimau Cogen

Keppel Infrastructure Fund Management Pte. Ltd., acting as trustee-manager of Keppel Infrastructure Trust (KIT), announced the completion of its acquisition of an additional 39% interest in Keppel Merlimau Cogen Pte. Ltd. (KMC) on Jun, 26 2026. The transaction lifts KIT’s total stake in KMC to 90%.

The purchase was executed through the acquisition of a shareholder loan and one ordinary share in Kindle Energy Pte. Ltd., which directly holds the 39% interest in KMC. The deal, classified as an interested person transaction with KCIF Investments Pte. Ltd., was financed by KIT’s internal funds and external borrowings.

The final purchase consideration is approximately 125.6 million Singapore dollars, reflecting a reduced ticker amount of about 4.7 million Singapore dollars because completion occurred before the previously targeted long-stop date. After accounting for cash distributions and related adjustments, KIT paid roughly 116.8 million Singapore dollars to KCIF Investments at completion.
