TIL Enviro Proposes Overhaul of Governance Documents to Enable Hybrid AGMs and Align with New HKEX Requirements

TIL Enviro Limited intends to replace its existing memorandum and articles of association with a third amended and restated version, pending shareholder approval at the 23 June 2026 annual general meeting.

The proposed revisions target four main areas: 1. Governance Modernisation: Introduces provisions for hybrid shareholder meetings and electronic voting to enhance participation flexibility. 2. Regulatory Alignment: Updates language to meet the latest Hong Kong Listing Rules on electronic dissemination of corporate communications and the recently introduced treasury-shares regime. 3. Market Infrastructure Readiness: Prepares the company for the upcoming uncertificated securities market framework that the Hong Kong Stock Exchange plans to implement. 4. Housekeeping Updates: Consolidates prior amendments and makes consequential textual refinements.

Implementation of the new memorandum and articles requires a special resolution at the forthcoming AGM. A detailed circular, the AGM notice and a proxy form will be distributed on the company’s and HKEX’s websites in due course.

Board composition at the time of the announcement (30 March 2026) comprises two non-executive directors (Lim Chin Sean, Lim Siew Ling), one executive director (Wong Kok Sun) and three independent non-executive directors (Tan Yee Boon; Hew Lee Lam Sang; Tam Ka Hei Raymond).
