Hafary Holdings shareholders endorse all resolutions at Apr, 24 2026 AGM

Hafary Holdings Limited announced that its shareholders approved every resolution tabled at the Annual General Meeting held on Apr, 24 2026, with voting conducted by poll.

All six ordinary items of business—including adoption of the FY2025 financial statements, the re-election of directors Mr Low Kok Ann, Datuk Edward Lee Ming Foo, JP and Mr Foo Yong How, and directors’ fees of 195 thousand Singapore dollars—each received 100.00 per cent support after rounding. RSM SG Assurance LLP was also re-appointed as independent auditor.

Under special business, shareholders granted a general authority to issue shares with 99.98 per cent approval and renewed the general mandate for interested person transactions with 99.99 per cent support. Hap Seng Investment Holdings Pte. Ltd. and its associates, which collectively hold about 218.79 million shares, abstained from voting on the interested person transactions mandate.

Following the meeting, Mr Low Kok Ann remains Executive Director and Chief Executive Officer, Datuk Edward Lee Ming Foo continues as Non-Independent Non-Executive Director, and Mr Foo Yong How remains Independent Non-Executive Chairman as well as Chairman of the Remuneration Committee and member of both the Audit and Nominating Committees.

Reliance 3P Pte Ltd served as the independent scrutineer for the poll.
