Tian Ge Interactive Holdings Limited announced that Deloitte Touche Tohmatsu will retire as the Group’s independent auditor at the conclusion of the annual general meeting scheduled for 29 May 2026. The Board, after receiving a recommendation from the Audit Committee, resolved not to seek re-appointment of Deloitte.
The decision follows Deloitte’s notification on 13 April 2026 that audit fees for the 2026 financial year would rise significantly, driven by anticipated growth in the Group’s online interactive entertainment businesses and an expanding portfolio of financial asset investments. Management noted that the audit scope remains broadly unchanged from the prior year, while the company continues to report a loss for the year ended 31 December 2025. In this context, the Board determined that a substantial fee increase would be inconsistent with ongoing cost-control measures.
No matters requiring shareholder attention were raised by Deloitte, and both the Board and the Audit Committee confirmed the absence of any disagreement with the outgoing auditor.
Subject to shareholder approval at the forthcoming AGM, Tian Ge Interactive plans to appoint Rongcheng (Hong Kong) CPA Limited as the new independent auditor until the next annual general meeting. The Audit Committee’s assessment considered RCHK’s industry expertise, audit quality, independence and resource allocation, concluding that the firm is suitable to assume the audit mandate.
A circular detailing the proposed auditor change and the associated AGM notice will be dispatched to shareholders in accordance with Listing Rules.
