CIFI Holdings proposes fourth amended charter to enable paperless listing regime and treasury shares

CIFI Holdings (Group) Co. Ltd. plans to replace its existing third amended and restated memorandum and articles of association with a fourth version that consolidates three principal changes:

1. Alignment with recent Listing Rules updates that support a broader paperless listing framework, hybrid general meetings and electronic voting.

2. Introduction of flexibility for the company to hold and dispose of repurchased shares as treasury shares.

3. House-keeping revisions to streamline the governing document.

The proposed amendments (collectively, the “Proposed Amendments”) will be submitted as a special resolution at the annual general meeting scheduled for 26 June 2026. Subject to shareholder approval, the new document will become the company’s prevailing memorandum and articles of association.

A circular detailing the Proposed Amendments and the AGM notice will be dispatched to shareholders in due course.

The board currently comprises five executive directors (Lin Zhong, Lin Wei, Ru Hailin, Yang Xin and Ge Ming), one non-executive director (Zeng Yang) and three independent non-executive directors (Zhang Yongyue, Tan Wee Seng and Lin Caiyi).
