Participation and Quorum • Voting rights were attached to 693.03 million shares, of which 255.57 million (36.88%) were represented in person or by proxy. • The company’s share-incentive scheme trustee abstained from voting its 10.03 million H-shares in accordance with Hong Kong Listing Rules.

2. FY 2025 profit distribution plan passed with identical support—94.84% for and 5.16% against—mirroring the vote on the financial and annual reports.

3. The appointment of the external auditor for 2026 garnered overwhelming approval: 255.56 million votes (99.99%) in favour versus 8,400 votes against.

4. Remuneration for external directors was endorsed by 94.84% of votes cast.

Related-Party Transaction Scrutiny • Resolution 7, covering projected 2026 ordinary related transactions, faced notable opposition; it passed with a slimmer 53.46% majority (15.14 million votes for vs. 13.18 million against). • Major interested shareholders—Chairman Wang Yonghua and two affiliated investment partnerships—abstained from voting on this resolution in line with regulatory requirements.

Governance and Oversight • All nine board directors attended the meeting, which was chaired by Mr. Wang Yonghua. • Tricor Investor Services Limited acted as the scrutineer for vote tabulation.

With the successful passage of all resolutions, Tian Tu Capital has ratified its 2025 operational and financial results, set its dividend distribution plan, and confirmed its external auditor for 2026, positioning the company for the forthcoming financial year.
