\n\nFollowing the transaction, issued shares outstanding (excluding treasury shares) fell by 0.0143% to 327.90 million, while treasury shares rose to 8.45 million. Total issued share capital remained unchanged at 336.35 million shares because the repurchased shares were retained as treasury stock rather than cancelled.
\n\nThe buyback forms part of a mandate approved on 30 May 2025 that authorises the company to repurchase up to 31.96 million shares. To date, Zylox-Tonbridge has repurchased 5.63 million shares under this authorisation, equivalent to 1.72% of the share count as of the mandate date.
\n\nUnder Hong Kong listing rules, the company is subject to a moratorium on issuing new shares or disposing of treasury shares until 21 May 2026. The board confirmed that the repurchase complied with all applicable regulations and that no material changes have been made to the previously filed explanatory statement.
