OrbusNeich Schedules 8 June 2026 AGM; Board Seeks Shareholder Nod for HK$0.12 Dividend, Director Re-elections and New Mandates

OrbusNeich Medical Group Holdings Limited will convene its annual general meeting on 8 June 2026 at 11:00 a.m. in Hong Kong Science Park. Shareholders will vote on six key items:

1. FY2025 Results Adoption • Approval of the audited consolidated financial statements and the reports of the directors and independent auditor for the year ended 31 December 2025.

2. Board Composition • Re-election of three directors: – Mr. Ting San Peter Lionel Leung (Non-executive) – Mr. Yip Keung Chan (Independent Non-executive) – Mr. Ka Keung Lau BBS, MH, JP (Independent Non-executive) • Authorisation for the board to set director remuneration.

3. Auditor • Re-appointment of PricewaterhouseCoopers as external auditor with board-determined remuneration.

4. Dividend • Final dividend of HK$0.12 per share for FY2025 to be paid from the share premium account, pending shareholder approval.

5. Share Issuance Mandate • General authority to issue, allot or deal with additional shares—up to 20% of the company’s issued share capital, excluding any treasury shares.

6. Share Repurchase Mandate • Authorisation to repurchase shares on-market—up to 10% of the issued share capital, excluding any treasury shares.

Proxy forms must reach Computershare Hong Kong Investor Services Limited no later than 48 hours before the meeting. Attendance in person will supersede any proxy instructions.
