U-PRESID CHINA: All AGM Resolutions Cleared; Final 2025 Dividend Set at HK$0.5497 per Share

Uni-President China Holdings Ltd. (U-PRESID CHINA) reported that shareholders endorsed all eight ordinary resolutions at the 5 June 2026 annual general meeting.

1. Dividend Approval Shareholders approved a final cash dividend of RMB0.4747 per share for FY 2025. Using an average exchange rate of RMB1 = HK$1.15789, the payout converts to HK$0.5497 per share. The dividend is payable on or around 8 July 2026 to holders of record on 15 June 2026.

2. Voting Results Overview • Adoption of the 2025 audited accounts received 99.98 % of votes cast. • Dividend declaration secured 100 % approval. • Re-elections: Executive directors Mr. Lo Chih-Hsien and Mr. Liu Xinhua garnered 95.39 % and 99.45 % support, respectively; non-executive directors Mr. Chen Kuo-Hui and Ms. Chien Chi-Lin obtained 98.79 % and 98.31 %. • Board remuneration and reappointment of PricewaterhouseCoopers were backed by 98.63 % and 95.39 %. • General mandates: issuance of up to 20 % of share capital passed with 90.46 % approval, while the 10 % share-repurchase mandate achieved 100 % support. The company had 4.32 billion voting shares in issue, with no restrictions or abstentions recorded.

3. Timetable and Administration Computershare Hong Kong Investor Services acted as meeting scrutineer. Dividend cheques will be dispatched by ordinary mail at shareholders’ risk on the scheduled payment date.

The board remains chaired by Mr. Lo Chih-Hsien, with full director attendance recorded for the meeting.
