Sinostar Pec Holdings shareholders clear all resolutions at Apr, 24 2026 AGM

Sinostar Pec Holdings Limited announced that every resolution tabled at its Annual General Meeting on Apr, 24 2026 was passed by poll.

Shareholders adopted the FY2025 audited financial statements with 602.94 million votes in favour, representing 99.99 percent of the votes cast. They also re-elected Executive Chairman and Chief Executive Officer Li Xiang Ping (99.99 percent approval) and independent director Dr Chen Seow Phun, John (99.94 percent approval).

The meeting endorsed directors’ fees of 0.19 million Singapore dollars for the financial year ending Dec, 31 2026, re-appointed CLA Global TS PAC as external auditor and authorised the board to fix its remuneration (both with 99.99 percent support).

A renewal of the shareholders’ mandate for interested person transactions was backed by 95.42 percent of the 0.66 million votes cast, while 99.93 percent of votes supported granting the directors authority to allot and issue shares.

Intelligent People Holdings Limited, which holds about 668.39 million shares, abstained from voting on the interested person transaction mandate owing to the deemed interest of Mr Li.

Following their re-election, Mr Li will remain Executive Chairman, CEO and a member of the Risk and Investment Committee, while Dr Chen continues as Chairman of the Remuneration Committee and as a member of the Audit and Nominating Committees. Gong Corporate Services Pte Ltd acted as the independent scrutineer for the poll.
