FUTURE BRIGHT to Adopt New Bye-laws Enabling Virtual Meetings; Shareholder Vote Set for 15 June 2026

Future Bright Holdings Limited (“FUTURE BRIGHT”) has proposed a comprehensive overhaul of its constitutional framework to comply with Hong Kong Exchanges and Clearing Limited’s expanded paperless listing regime.

Key points: 1. Background and Regulatory Driver • The Hong Kong Stock Exchange’s January 2025 consultation conclusions require all listed issuers to amend their constitutional documents to permit virtual or hybrid general meetings and electronic voting by the first annual general meeting (AGM) after 1 July 2025.

2. Scope of Changes • FUTURE BRIGHT’s board recommends replacing the current bye-laws in entirety with new bye-laws that: – Authorise hybrid and fully electronic general meetings, allowing shareholder attendance and voting via electronic means. – Align with recent Listing Rule revisions on treasury shares and electronic dissemination of corporate communications. – Update provisions to meet Bermuda law and other regulatory requirements. – Include related housekeeping and consequential amendments for consistency.

3. Approval Timeline • The adoption of the new bye-laws requires a special resolution at the forthcoming AGM scheduled for Monday, 15 June 2026. • A circular detailing the proposed changes, AGM notice and proxy form will be mailed to shareholders on or about 30 April 2026.
