Xiaomi Issues 0.40 Million Class B Shares for Equity Incentives, Buys Back 3.70 Million Shares for HK$97.40 Million

Xiaomi Corporation (Xiaomi) filed a Next Day Disclosure Return (10 June 2026) detailing marginal share issuance for employee incentives alongside an ongoing on-market buyback program.

New share issuance • On 9–10 June 2026 Xiaomi issued a total of 396,800 Class B weighted‐voting-right (WVR) ordinary shares to non-director participants under its share scheme. • The shares were allotted at HK$2.27 (131,600 shares) and HK$2.47 (265,200 shares), implying a volume-weighted average issue price of roughly HK$2.40. • The new shares expanded the Class B share base by 0.0015%, lifting the total number of issued Class B shares to 21.39 billion. Total issued shares (Class A + B) stood at 25.84 billion as of 8 June 2026.

Latest share repurchase • On 10 June 2026 Xiaomi repurchased 3.70 million Class B shares on the Hong Kong Stock Exchange at prices between HK$26.26 and HK$26.38, for an aggregate HK$97.40 million. • These shares are earmarked for cancellation under the repurchase mandate approved on 2 June 2026, which authorises up to 2.58 billion shares for buyback.

Cumulative repurchase activity (27 Apr – 10 Jun 2026) • Shares repurchased for cancellation but not yet cancelled total 72.11 million Class B shares, representing approximately 0.28% of the company’s total issued share capital. • Purchase prices across the period ranged from HK$26.32 to HK$31.52 per share.

Mandate utilisation and moratorium • Since the 2 June 2026 mandate was granted, Xiaomi has repurchased 14.30 million shares, equivalent to 0.06% of the issued share base at the mandate date. • In line with Hong Kong listing rules, the company is barred from issuing new shares or disposing of treasury shares until 10 July 2026 following these repurchases.
