1. Voting Overview The Extraordinary General Meeting (EGM) of Chaozhou Three-Circle (Group) Co., Ltd. (CCTC) on 5 August 2026 attracted 1,548 shareholders and proxies, representing 1.22 billion voting shares, or 61.69 % of the 1.97 billion shares entitled to vote. All items were decided by poll; JunHe LLP served as the legal witness and Computershare Hong Kong Investor Services acted as scrutineer.
2. Charter Amendment Approved The sole special resolution—amendments to the Articles of Association—was adopted with 96.51 % support. The revised Articles take immediate effect and have been posted on HKEXnews and the company’s website.
3. Board Composition – 12th Session • Non-executive Director: Zhang Wanzhen (re-elected) • Executive Directors: Li Gang, Ma Yanhong, Qiu Jihua (all re-elected) • Independent Non-executive Directors: Jiang Lijun, Su Yanqi, Wong Sze Wing (all re-elected) • Employee Representative Director: Chen Guixu (newly elected at the employees’ congress)
Each director begins a three-year term from the EGM date. Service contracts have been executed accordingly.
4. Leadership Changes At the first meeting of the new board held immediately after the EGM: • Li Gang was elected Chairman. • Ma Yanhong was elected Vice-Chairman and appointed General Manager. • Deputy General Managers: Qiu Jihua, Liu Jiepeng, Zheng Kecheng, Liang Jun, Liu Dexin, Liu Yan, Feng Xiaopeng. • Finance Director: Wang Hongyu. • Board Secretary: Wu Xiaochun. All appointments run concurrently with the 12th board’s term.
5. 6. Director Remuneration Framework Independent directors based in Mainland China receive RMB 80,000 per annum; Hong Kong-based independent directors receive HKD 240,000. Other directors are compensated according to their executive roles plus an annual position allowance of RMB 80,000.
All resolutions passed without opposition or abstention announcements, and no shares were required to abstain from voting under HKEX Listing Rules.
