MEGAIN Holding (Cayman) Co., Ltd. has scheduled an extraordinary general meeting (EGM) for 29 June 2026 at 11:30 a.m.—immediately following its annual general meeting—to be conducted entirely via an online eVoting Portal.
The sole ordinary resolution seeks shareholder approval of the previously announced Subscription Agreements and the related transactions, including the granting of a specific mandate authorising the Board to allot and issue the “Specific Mandate Subscription Shares.” Any one director will be empowered to execute all documentation necessary to implement the agreements once approved.
Key participation arrangements are as follows:
• Eligibility cut-off: The register of members closes from 24 June 2026 to 29 June 2026 (both dates inclusive). Share transfer documents must be lodged by 4:30 p.m. on 23 June 2026 to qualify for voting rights. • Proxy voting: Registered shareholders may appoint one or more proxies; completed forms must reach Tricor Investor Services Limited by 11:30 a.m. on 27 June 2026. • Meeting format: Attendance and voting will be conducted solely through the eVoting Portal; all resolutions will be decided by poll, and proceedings will be held in Putonghua.
MEGAIN’s Board currently comprises one executive director, two non-executive directors and three independent non-executive directors. Chairman Cheng Hsien-Wei issued the notice on 12 June 2026.
