ND Paper postpones circular on renewal of connected transactions to 30 June 2026

Nine Dragons Paper (Holdings) Limited (ND Paper) announced a delay in dispatching its shareholder circular related to the renewal of two key continuing connected transactions—the Chemical Purchase Agreement and the Recovered Paper, Pulp Products and Woodchips Agreement.

Originally scheduled for release on or before 9 June 2026, the circular is now expected to be despatched on or before 30 June 2026. The company cited the need for additional time to finalise information required in the document, which will include: • Full details of the two agreements under renewal. • An independent financial adviser’s letter to the Independent Board Committee and Independent Shareholders. • The notice convening a Special General Meeting.

ND Paper advised shareholders and potential investors to exercise caution when dealing in its securities. The board currently consists of five Executive Directors—Cheung Yan, Liu Ming Chung, Zhang Cheng Fei, Ken Liu, and Zhang Lianpeng—and four Independent Non-Executive Directors—Chan Man Ki, Maggie; Dr. Li Huiqun; Dr. Cao Zhenlei; and Sun Po Yuen.
