Edianyun Limited (Edianyun) has reported a fresh share repurchase, acquiring 9.82 million ordinary shares on 15 June 2026 at HK$3.00 each. The transaction, disclosed in the company’s Next Day Disclosure Return filed on 16 June 2026, represents 1.92% of Edianyun’s issued share capital (excluding treasury shares) prior to the buy-back and involved total consideration of HK$29.47 million.
Following the purchase, Edianyun’s issued share capital (excluding treasury shares) stands at 500.69 million shares, down from 510.51 million. The number of shares held in treasury has increased from 27.81 million to 37.63 million, while the company’s total issued share count remains unchanged at 538.32 million because the repurchased shares are being held as treasury stock.
The buy-back was executed under the general mandate approved by shareholders on 13 June 2025, which authorises Edianyun to repurchase up to 52.37 million shares. To date, 27.49 million shares—equivalent to 5.25% of the company’s issued share capital on the mandate date—have been repurchased under this authorisation, leaving headroom for further purchases.
In line with Main Board Rule 10.06(3)(a), Edianyun is now subject to a moratorium on issuing new shares or selling treasury shares until 15 July 2026. The board confirmed that the repurchase was conducted on the Stock Exchange of Hong Kong in full compliance with all applicable regulations and that all requisite filings have been completed.
