Shanghai Xizhi Technology Co., Ltd. (XIZHI Tech, 01879) has issued a notice convening an extraordinary general meeting (EGM) to be held online at 3:00 p.m. on 14 September 2026 (Hong Kong time).

Key matters for shareholder approval:

1. Adoption of the H-Share Option Scheme and H-Share Award Scheme. 2. Authorisation for the Board or its delegatee to administer both schemes, including the grant of options or awards and all related compliance actions. 3. Aggregate share allotment under the new schemes, together with any other share-based incentive plans adopted by the company, will be capped at 10% of the company’s issued share capital (excluding treasury shares) as at the date the resolutions are passed. 4. Listing approval for any shares issued under the schemes will be sought from the Hong Kong Stock Exchange’s Listing Committee.

• Voting will be conducted by poll in accordance with Hong Kong Listing Rules. • Shareholders may appoint multiple proxies; completed proxy forms must reach Tricor Investor Services Limited or the company’s PRC headquarters by 3:00 p.m. on 13 September 2026. • The register of members will be closed from 9 September 2026 to 14 September 2026 (both dates inclusive). To qualify for attendance and voting, share transfers must be lodged by 4:30 p.m. on 8 September 2026.
