ROISERV AGM: Shareholders Approve All Proposals, Green-Light 20% Share Issuance Mandate

Roiserv Lifestyle Services Co., Ltd. (ROISERV) confirmed that every item on the agenda of its 26 June 2026 Annual General Meeting (AGM) secured strong shareholder backing, with voting support hovering around 99.95%–99.97%.

Shareholder turnout and voting structure • Shares represented: 282.13 million, equal to 75.03% of the 376.00 million shares in issue (no treasury shares outstanding). • All resolutions were decided by poll; Tricor Investor Services acted as scrutineer.

Key ordinary resolutions (≥50% approval required) 1. 2025 Board report, consolidated financial statements, profit distribution plan and annual report each gained 99.97% approval. 2. Board remuneration authority endorsed with 99.97% support. 3. ShineWing Certified Public Accountants LLP re-appointed as auditor until the next AGM; remuneration to be set by the Board (99.97% approval).

Special resolution (≥66.67% approval required) • General mandate authorised: the Board may issue, allot or deal in additional shares and/or resell treasury shares up to 20% of the Company’s issued share capital, with 99.95% votes in favour.

Governance notes • All seven directors—executive, non-executive and independent non-executive—attended the meeting in person or via electronic means. • No shareholders were required to abstain, and none indicated opposition ahead of the AGM.

With full approval of all proposals, ROISERV’s Board retains flexibility to manage capital structure, while operational and financial disclosures for the year ended 31 December 2025 have been formally ratified.
