CQRC Bank Sets 28 May 2026 AGM; Targets 30.05% Dividend Payout, Adds Two INEDs and Seeks RMB45.00 Billion+ Related-Party Credit Approvals

1. Meeting timetable The 2025 annual shareholders’ meeting of CQRC Bank will be held on 28 May 2026 at the lender’s Chongqing headquarters. Shareholders of record on 28 May 2026 are entitled to attend; the H-share register closes from 22–28 May.

2. Cash-dividend proposals • Final dividend: RMB1.1755 per 10 shares, totalling RMB1.34 billion (tax inclusive). • Interim dividend already paid: RMB2.03 per 10 shares, totalling RMB2.31 billion. • Full-year 2025 payout: RMB3.2091 per 10 shares, aggregating RMB3.65 billion, equal to 30.05% of 2025 net profit attributable to shareholders (RMB10.85 billion). • Shareholders may elect to receive H-share dividends in RMB or HKD.

3. Key business items for shareholder approval a) Work report, audited 2025 financial statements and 2026 budget, which includes RMB720 million in capital expenditure and RMB660 million in domestic equity investments.

b) Re-appointment of KPMG Huazhen LLP and KPMG as PRC and international auditors, respectively, with combined fees of RMB5.66 million (internal-control audit fee: RMB0.61 million).

c) Election of two independent non-executive directors: • Cao Shinan, professor at the University of International Business and Economics, specialising in M&A and quantitative finance. • Gao Yang, New York-qualified lawyer and Hong Kong registered foreign lawyer.

4. Proposed interim dividend framework for 2026 Subject to profitability and regulatory ratios, the Board seeks authority to distribute up to 30% of first-half 2026 parent-company net profit as an interim cash dividend.

5. Major related-party credit and deposit mandates Shareholders will vote on one-year comprehensive credit limits and associated deposit arrangements involving three substantial shareholders and their affiliates:

• Yufu Holding group: RMB19.80 billion credit limit (related-party portion RMB10.65 billion). • City Investment Group: RMB19.00 billion credit limit (related-party portion RMB15.72 billion). • Chongqing Development group: RMB19.50 billion credit limit (related-party portion RMB14.56 billion).

Pricing for credit and deposit transactions will not exceed terms offered to non-related parties. Deposit business (demand, term, agreement, structured and 7-day call deposits) will be executed on normal commercial terms and filed with the Board committee.

6. Voting exclusions Affiliated shareholders—including Yufu Capital, City Investment Group and Chongqing Development, along with their designated entities—will abstain from voting on resolutions relating to their respective related-party transactions.

The Board recommends shareholders vote in favour of all ordinary resolutions. No special resolutions are tabled for this AGM.
