Chunli Medical Releases 2025 Results, Announces 50.48% Dividend Payout and Seeks 10% H-Share Buyback Mandate

Beijing Chunlizhengda Medical Instruments Co., Ltd. (Chunli Medical) has published its 2025 annual report and convened its annual general meeting (AGM) for 26 May 2026 in Beijing.

Financial highlights • Audited distributable profit for 2025 reached RMB 1.36 billion. • Total cash dividend proposed for 2025 is RMB 137.59 million, equal to 50.48 % of net profit attributable to ordinary shareholders.  – Interim dividends already paid for the first three quarters: RMB 80.26 million.  – Final dividend proposed: RMB 1.50 (tax-inclusive) per 10 shares, totalling RMB 57.33 million. • Shares entitled to the final dividend: 382.19 million (after deducting 1.38 million A-shares held in the repurchase account). • Final dividend record date for H-shareholders: 1 June 2026; payment expected on or before 30 June 2026. • Dividend tax withholding will follow PRC rules, with a default 10 % rate for non-resident enterprises and 20 % for mainland individual investors accessing H shares via Stock Connect.

Shareholder meetings & key resolutions • AGM and H-shareholders’ class meeting: 26 May 2026. • Register of H-shareholders closes 20–26 May 2026 for AGM voting; transfer deadline 19 May 2026. • Separate register closure for dividend entitlement: 1–3 June 2026; transfer deadline 29 May 2026.

Proposed H-share buyback mandate • Board seeks authority to repurchase up to 10 % of issued H shares (maximum 9.51 million shares based on current capital) during the period to the 2026 AGM. • Buybacks can be funded from internal resources and executed on the Hong Kong market; repurchased shares may be cancelled or held as treasury stock. • The company currently holds 1.38 million A-shares as treasury shares and none of its H shares.

Board and governance matters • 2025 performance report of independent non-executive directors, board report, audited financial statements and 2026 director remuneration plan will be tabled for approval. • Proposed 2026 remuneration for non-executive directors: Wang Xin, Weng Jie and Xu Hong at RMB 100,000 each; Wong Tak Shing at RMB 175,800. Executive directors will receive remuneration tied to their management positions. • WUYIGE Certified Public Accountants LLP is nominated as both domestic and overseas auditor, and as internal control auditor, for 2026.

All resolutions will be voted on by poll at the forthcoming meetings.
