Tong Ren Tang Technologies approves 2025 financials, declares RMB0.18 final dividend and secures new share issue mandate

Tong Ren Tang Technologies Co. Ltd. convened its 2025 annual general meeting on 12 June 2026 in Beijing, with shareholders representing 52.36% of the company’s 1.28 billion issued shares voting by poll on all agenda items. Every resolution—six ordinary and two special—passed with at least 95.64% support.

Key resolutions and vote highlights

1. 2025 audited results and directors’ report • Both items received 99.97% approval, confirming the company’s financial statements for the year ended 31 December 2025.

2. Final dividend • A cash dividend of RMB0.18 (tax inclusive) per share was approved with 100.00% support (670.66 million votes). • The dividend, equivalent to HKD0.206935, is payable on 11 August 2026 to shareholders on record as of 23 June 2026. • Payments to H-share investors will be in Hong Kong dollars, with RMB-HKD conversion based on the five-day average PBoC midpoint of RMB1.00 = HKD1.149637. • Statutory withholding tax will be applied: 10% for overseas non-resident enterprises and most individual H-share holders, and 20% for Shenzhen-Hong Kong Stock Connect individual investors.

3. Auditor appointments • Ernst & Young (overseas auditor) and Ernst & Young Hua Ming LLP (domestic auditor) were re-appointed for the 2026 fiscal year, each backed by 99.9999% of votes.

4. Corporate governance updates • Amendments to the Rules of Procedures of Shareholders’ Meetings and the Articles of Association were adopted with 99.9999% support.

5. Share issuance mandate • Shareholders granted the board authority to issue up to 20% of existing share capital (excluding any treasury shares), with 95.64% in favour.

Meeting administration

• Computershare Hong Kong Investor Services acted as vote scrutineer. • All directors attended in person or electronically, and Chairman Zhang Yi presided over the meeting.

Dividend logistics

• Bank of China (Hong Kong) Trustees will serve as Hong Kong payment agent. Dividend cheques will be mailed on 11 August 2026 by ordinary post at shareholders’ risk.

The AGM’s approval of the 2025 financial statements and final dividend, coupled with the renewed auditor appointments and share issuance mandate, positions Tong Ren Tang Technologies for its next phase of governance and capital management in 2026.
