Hainan Meilan International Airport Company Limited (MEILAN AIRPORT) has dispatched a proxy circular for its 2025 Annual General Meeting (AGM), scheduled for 10:00 a.m. on 21 May 2026 at the company’s headquarters in Haikou, Hainan Province.
Key resolutions to be tabled are as follows:
1. Annual reports • Shareholders will vote on the Board’s and the Supervisory Committee’s work reports for the year ended 31 December 2025. • The meeting will also consider the audited consolidated financial statements for the same period.
2. Dividend policy • The Board proposes not to distribute a final dividend for FY 2025.
3. Remuneration • An annual remuneration plan for directors and supervisors for FY 2026 will be submitted for approval.
4. Auditor appointment • The Board seeks to re-appoint Pan-China Certified Public Accountants LLP as external auditor until the conclusion of the next AGM and authorise the Board chairman to fix the audit fee.
5. General mandate • A special resolution requests shareholder authorisation for the Board to issue up to 20% of each of the company’s Domestic Shares and H Shares in issue as of the AGM date. • The mandate, capped at 12 months or until the next AGM (whichever is earlier), would allow the Board to determine issuance terms, adjust registered capital accordingly and amend the Articles of Association to reflect any capital increase.
6. Shareholder proposals • Any shareholder or group of shareholders holding at least 1% of total voting shares may submit additional proposals for consideration.
Administrative details • H-share proxy forms must be lodged with the company’s Hong Kong registrar, Computershare Hong Kong Investor Services Limited, no less than 24 hours before the meeting. • Domestic-share proxy forms must be delivered to the Board Secretary’s office at Meilan Airport within the same timeframe. • Shareholders or proxies attending the AGM must present valid identification.
