Minerva Group Holding Limited has unveiled a non-underwritten rights issue that will offer 1.14 billion new shares—one rights share for every two existing shares—at HK$0.038 each.
The offer price represents a 20.80% discount to the HK$0.048 closing price on the last trading day (29 April 2026) and a 14.90% discount to the theoretical ex-rights price of HK$0.045.
Assuming full subscription and no change in the current share base of 2.28 billion shares, gross proceeds will total HK$43.30 million, while net proceeds—after estimated expenses of HK$1.85 million—are expected to reach HK$41.50 million. The company plans to allocate: • 60% to expand margin-financing capacity within its financial-services arm; • 10% to upgrade trading systems and broaden product scope, including U.S. equities and tokenised securities; • 20% to bolster its money-lending and asset-investment segments; and • 10% for office, compliance and general corporate purposes.

The 1.14 billion new shares equate to 50.00% of Minerva Group’s existing issued share capital and 33.33% of the enlarged share base of 3.42 billion shares upon completion.
Any unsubscribed or non-qualifying entitlement will be placed out by China Demeter Securities Limited on a best-effort basis, with net premiums (if any) returned pro-rata to affected shareholders. The rights issue will lapse if its stated conditions, including Stock Exchange approval for listing of the rights shares, are not met by the long-stop date of 31 August 2026.
