China Medical System Holdings Limited announced that its board of directors has revised the Terms of Reference for the company’s Nomination Committee, with the changes taking effect on Mar, 16 2026.
Key amendments include maintaining a minimum of three committee members—most of whom must be independent non-executive directors—mandating at least one director of a different gender on the committee and formalising procedures for meetings, voting and reporting.
The updated document also expands the committee’s authority to seek independent professional advice, specifies duties such as annual board-skills reviews, oversight of director independence and succession planning, and requires the policy to be disclosed on both the Hong Kong Stock Exchange and company websites.
The board retains the right to interpret and amend the Terms of Reference, which will prevail over any conflicting provisions in other regulations or the company’s articles of association.
