Gaush Meditech Schedules 28 May 2026 AGM to Ratify FY2025 Accounts, Board Changes, Ernst & Young Reappointment and 20% Issue/10% Buy-back Mandates

Gaush Meditech Ltd will hold its 2026 annual general meeting on 28 May 2026 at 3:00 p.m. in Beijing. Shareholders will vote on the following ordinary resolutions:

• Financial statements: Receive and adopt the audited consolidated results for the year ended 31 December 2025 together with directors’ and auditors’ reports.

• Board composition: Re-elect executive directors Mr. Zhao Xinli, Mr. Zhang Jianjun and Ms. Li Wenqi, with the board authorised to fix their remuneration.

• Auditor: Re-appoint Ernst & Young, with audit fees capped at approximately RMB4.50 million–RMB4.70 million.

• General mandates: – Issue mandate—authorises the board to allot, issue or otherwise deal with new shares or convertible securities up to 20% of the company’s issued share capital, excluding treasury shares, during the mandate period. – Repurchase mandate—authorises the company to buy back up to 10% of its issued share capital, excluding treasury shares. – Extension—if both mandates pass, the number of shares repurchased may be added to the issue mandate, potentially raising total issuance headroom to 30% of issued share capital.

A special resolution will also be put forward to adopt a seventh amended and restated memorandum and articles of association, consolidating changes outlined in the circular dated 29 April 2026.

Key administrative details:

• Shareholders recorded by 28 May 2026 are entitled to attend and vote; register of members closes from 22 May to 28 May 2026. • Proxy forms must reach Tricor Investor Services by 3:00 p.m. on 26 May 2026. • All resolutions will be decided by poll.

The board currently comprises five executive directors, one non-executive director and three independent non-executive directors.
