MedSci calls 30 June 2026 AGM; seeks 10% buy-back, 20% issuance mandates and Director re-elections

MedSci Healthcare Holdings Limited has convened its 2026 Annual General Meeting for 10:00 a.m. on 30 June 2026 at Room 1004, Guangqi City Office Building, Yishan Road, Xuhui District, Shanghai.

Key agenda items 1. Financial reporting: Shareholders will be asked to receive the audited consolidated financial statements and the reports of the directors and auditors for the year ended 31 December 2025.

2. Board composition: • Re-election of Executive Director Mr. Wang Shuai. • Re-election of Independent Non-executive Directors Mr. Yu Mingyang and Mr. Lau Yiu Kwan Stanley. • Authorisation for the board to set individual directors’ remuneration.

3. Auditor: Re-appointment of Ernst & Young, with the board authorised to fix the audit fee.

4. Share mandates: • Share repurchase mandate – authorises the board to repurchase up to 10% of MedSci’s issued shares (excluding treasury shares) during the mandate period. • Share issuance mandate – permits the board to allot and issue new shares or dispose of treasury shares up to 20% of issued share capital, with customary exclusions for rights issues, option exercises, scrip dividends and conversions. • Extension mandate – permits expansion of the issuance limit by the number of shares repurchased under the 10% buy-back mandate, effectively adding up to another 10% capacity.

Timetable and voting mechanics • Register of Members will be closed from 25 June to 30 June 2026 (both days inclusive); the record date is 30 June 2026. • Forms of proxy, together with any authority documents, must be lodged with Tricor Investor Services Limited by 10:00 a.m. on 28 June 2026. • All resolutions will be decided by poll.

As of the notice date (30 April 2026), the board comprises eight directors: four executive, one non-executive, and three independent non-executive directors.
