YUNJI Plans 10-for-1 Share Split, Board Lot Doubles to 100 Shares; EGM Set for 2 Sept 2026

Beijing Yunji Technology Co., Ltd. (YUNJI) has released a circular outlining a comprehensive capital restructuring that hinges on shareholder approval at an extraordinary general meeting (EGM) scheduled for 9:30 a.m. on 2 September 2026 (Hong Kong time). The meeting will be conducted in hybrid format, with on-site participation in Beijing and online access via an e-voting portal.

Key Transaction • Share Subdivision: Each issued ordinary share with a par value of RMB1.00 will be subdivided into 10 shares with a par value of RMB0.10. • Registered Capital: Remains unchanged at RMB69.75 million; issued share count will expand from 69.75 million to 697.53 million shares post-split. • Rights: All subdivided shares will rank pari passu with existing shares; no fractional shares or odd lots will be created.

Board Lot Adjustment • Conditional on the split, the board lot for trading on the Hong Kong Stock Exchange (HKEX) will change from 50 H Shares to 100 subdivided H Shares. • Based on the 13 August 2026 closing price of HK$145.50 per H Share, the theoretical price per subdivided share is HK$14.55, bringing the post-change board-lot value to roughly HK$1,455—well above HKEX’s HK$1,000 threshold.

Timetable Highlights (subject to approvals) • 27 Aug 2026: Deadline for share transfers to qualify for EGM voting. • 2 Sep 2026: EGM; poll results announced the same day. • 4 Sep 2026: Share subdivision becomes effective; trading in 10-for-1 subdivided shares begins; temporary counter opens for 500-share lots. • 18 Sep 2026: Original trading counter reopens with new 100-share board lot; parallel trading starts. • 9 Oct 2026: Temporary counter closes; parallel trading ends. • 13 Oct 2026: Last day for free exchange of old share certificates for new ones.

Conditions Precedent The split requires: 1. Shareholder approval of the special resolution at the EGM. 2. HKEX approval for listing and dealing in the subdivided H Shares, including shares reserved for the H Share Award Scheme and potential H-share full-circulation conversion. 3. Completion of all necessary regulatory filings and approvals in the PRC and Hong Kong.

Impact on Incentive Schemes • Pre-IPO ESOP: 129,661 unvested shares will adjust to 1.30 million post-split; exercise prices will adjust proportionally. • H Share Award Scheme: Mandate limit expands from 6.98 million to 69.75 million subdivided shares; service-provider sub-limit increases from 1.40 million to 13.95 million subdivided shares.

Articles of Association Amendments The company will amend its Articles to reflect the lower par value and increased share count. Director Li Quanyin is authorized to complete all related filings.

No Fund-Raising in Near Term Directors confirm that YUNJI has neither entered into nor plans any equity fund-raising activities within the next 12 months, aside from expenses related to the share split and board-lot change.

Share Certificate Exchange Existing blue share certificates remain valid for settlement until 3 September 2026, after which investors can exchange them for new green certificates free of charge until 13 October 2026 at Tricor Investor Services. A handling fee of HK$2.50 per certificate will apply thereafter.

Voting Arrangements All resolutions at the EGM will be voted on by poll. No shareholder is required to abstain from voting under HKEX rules. The poll results will be published on the HKEX and company websites on the meeting day.
