China Yurun Food Group Limited (“Yurun Food”) has circulated the proxy form for its Annual General Meeting (AGM), confirming that the meeting will be held on Tuesday, 9 June 2026 at 10:00 a.m. at Yurun Food Industrial Park, 19 Zifeng Road, Pukou Economic Development Zone, Nanjing, Jiangsu Province, PRC.
Key items to be put to shareholder vote:
1. Financial Reporting • Receive and consider the audited financial statements and the reports of the directors and auditor for the financial year ended 31 December 2025.
2. Board Composition • Re-election of Independent Non-Executive Directors: – Mr. Gao Hui – Mr. Chen Jianguo
3. Remuneration Matters • Authorise the board to fix directors’ remuneration. • Re-appoint BDO Limited as external auditor and authorise the board to set its remuneration.
4. Share Capital Authorities • General mandate to repurchase shares up to 10% of the total issued share capital (excluding treasury shares) as at the date of the resolution. • General mandate to allot, issue and deal with additional shares up to 20% of the total issued share capital (excluding treasury shares) as at the date of the resolution. • Extension of the issuance mandate by the number of shares repurchased under the buy-back mandate.
Administrative Details • Shareholders wishing to appoint a proxy must submit completed forms to Tricor Investor Services Limited, 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong, no later than 48 hours before the meeting. • Proxy holders are not required to be shareholders but must attend in person to vote on behalf of their appointers. • Attendance at the AGM will render any previously lodged proxy void.
