Times China Holdings Limited announced that its consent solicitation for multiple outstanding note series closed at 4:00 p.m. (London time) on 15 June 2026 with support from holders representing the requisite percentage of principal across all series. The approval enables the company to proceed with the intended amendments and waivers to the relevant note documentation.

A separate meeting of bondholders concerning the parallel Mandatory Convertible Bond (MCB) consent solicitation is scheduled for 17 June 2026. Subject to approval, Times China plans to execute the related supplemental indentures and trust deeds and to issue a Special Record Date Notice to short-term noteholders detailing arrangements for the payment of Minimum Cash Interest.

Kroll Issuer Services Limited acts as Information and Tabulation Agent for the process, providing documentation and handling investor enquiries through its London and Hong Kong offices and the dedicated website (https://deals.is.kroll.com/timeschina-consent).

Further announcements will be released once the MCB consent process is concluded and the supplemental agreements are executed.
