AV Concept Clarifies Board Structure and Committee Leadership

Bulletin Express
Apr 01

AV Concept Holdings Limited announced an updated breakdown of its governance framework as of 1 April 2026, detailing the composition of the Board and the leadership of its four specialised committees.

The Board now comprises four executive directors—Chairman Dr. So Yuk Kwan, Chief Executive Officer Mr. So Chi On, Mr. So Kevin Chi Heng and Mr. So Chi Sun Sunny—alongside three independent non-executive directors (INEDs): Dr. Lui Ming Wah, Mr. Lai Yat Hung Edmund and Ms. Au-Yeung Kit Ping. The presence of three INEDs ensures that more than one-third of the seven-member Board is independent, aligning the company with widely accepted corporate-governance best practices.

Key committee appointments are as follows: • Audit Committee – Chaired by Mr. Lai Yat Hung Edmund, with Dr. Lui Ming Wah and Ms. Au-Yeung Kit Ping as members. • Remuneration Committee – Chaired by Dr. Lui Ming Wah, joined by Mr. Lai Yat Hung Edmund and Ms. Au-Yeung Kit Ping. • Nomination Committee – Chaired by Ms. Au-Yeung Kit Ping, with Dr. Lui Ming Wah and Mr. Lai Yat Hung Edmund serving. • Corporate Governance Committee – Chaired by Dr. Lui Ming Wah, supported by Mr. Lai Yat Hung Edmund and Ms. Au-Yeung Kit Ping.

The governance structure places independent directors in all committee chair roles, concentrating oversight responsibilities with non-executive members and reinforcing checks and balances across audit, remuneration, nomination and corporate governance functions.
