Beijing Enterprises ups deposit cap to RMB 12.50 billion in new three-year financial services pact with group finance arm

Beijing Enterprises Holdings Limited on 14 July 2026 signed a new Financial Services Agreement with Beijing Enterprises Group Finance Co., Ltd. for the period from 28 August 2026 to 27 August 2029. The framework replaces the current agreement that expires on 27 August 2026 and continues to cover deposit, loan and other ancillary financial services.

Key terms and caps • Deposit Services: The maximum daily deposit balance (including interest) will rise to RMB 12.50 billion for each year of the new term—up 43.68 % from the existing RMB 8.70 billion cap. • Loan Services: Credit will be offered at no less favourable terms than those available from independent third-party lenders, with no collateral required. The Loan Services are fully exempt under Listing Rule 14A.90. • Other Financial Services: Settlement, cross-border funds transfer and advisory services will be charged in line with, or more favourably than, market rates; expected fee levels remain below the de-minimis threshold and are therefore exempt at present.

Listing Rules classification • Deposit Services constitute both a continuing connected transaction and a major transaction, triggering reporting, announcement, annual review and independent shareholder approval requirements under Chapters 14A and 14 of the Listing Rules. • Loan Services and Other Financial Services are fully exempt based on current thresholds.

Shareholding relationships • BE Group and its subsidiaries own 62.23 % of Beijing Enterprises Holdings and 48.52 % of the Finance Company; the Group itself owns 44.79 % of the Finance Company. These cross-holdings render the Finance Company a connected person.

Corporate governance and controls • Competitive bidding ensures deposit and loan terms are at least as favourable as those offered by a minimum of three independent financial institutions. • Daily system-based monitoring prevents deposits from breaching approved caps; excess funds are automatically returned. • Annual audits will confirm compliance, and an Independent Board Committee—comprising all four independent non-executive directors—has been formed. Diligent Capital Limited has been appointed as independent financial adviser.

Next steps An extraordinary general meeting will be convened for independent shareholders to vote on the Deposit Services and their annual caps. BE Group and its close associates will abstain from voting. The circular is slated for dispatch on or before 4 August 2026.
