Anxian Yuan Sets 7 September 2026 AGM to Decide on Director Re-election, BDO Re-appointment and 20% Share Issuance Mandate

Anxian Yuan China Holdings Limited will hold its Annual General Meeting (AGM) on 7 September 2026 at 23/F, Lee Garden One, Causeway Bay, Hong Kong, starting at 10:00 a.m.

Key resolutions to be tabled are as follows:

1. Financial Statements • Shareholders will review and adopt the audited consolidated financial statements for the year ended 31 March 2026 together with the Directors’ and independent auditor’s reports.

2. Board Composition and Remuneration • Separate votes will be taken to re-elect Mr Law Fei Shing (executive director) and Mr Chan Koon Yung (independent non-executive director). • The Board will be authorised to fix directors’ remuneration.

3. Auditor • BDO Limited is nominated for re-appointment as auditor for the ensuing year, with the Board empowered to set its fees.

4. Share Issuance Mandate • Directors seek a general mandate to allot, issue, sell or transfer treasury shares, and grant options or similar instruments, up to 20% of the company’s issued share capital (excluding treasury shares) as at the date of the AGM. • The mandate covers actions during the period up to the next AGM, the statutory deadline for holding it, or earlier revocation by shareholders.

5. Share Repurchase Mandate • A separate mandate authorises the company to repurchase up to 10% of its issued shares (excluding treasury shares) on recognised exchanges during the same “Relevant Period.”

6. Extension Mandate • Conditional on the above two mandates passing, the issuance mandate will be extended by the number of shares actually repurchased, capped at an additional 10% of issued shares.

7. Administrative Dates • Record date for voting entitlement: close of business on 1 September 2026. • Proxy forms must be lodged with Tricor Investor Services Limited by 10:00 a.m. on 5 September 2026.

The Board currently comprises three executive directors—Mr Shi Hua, Mr Shi Jun and Mr Law Fei Shing—and three independent non-executive directors—Mr Chan Koon Yung, Mr Lum Pak Sum and Ms Hung Wan Fong, Joanne. The directors confirm they have no immediate plans to issue or repurchase shares under the proposed mandates.
