WeRide repurchases 2.22 million shares on Nasdaq and HKEX, treasury stock rises to 28.46 million

WeRide Inc. (HKEX: 00800; Nasdaq-listed ADSs) disclosed two share repurchases on 19–20 May 2026, taking back a combined 2,221,500 Class A WVR ordinary shares and American depositary shares (ADSs) for treasury holdings.

• 19 May 2026: 540,000 ADSs were bought on the Nasdaq at a volume-weighted average price of USD 2.2316, for a total consideration of USD 1.21 million.

• 20 May 2026: 1,681,500 shares were repurchased on the Hong Kong Stock Exchange at a volume-weighted average price of HKD 17.8245, involving HKD 29.97 million.

Following the transactions, issued shares excluding treasury holdings fell 0.23% to 944.04 million, while treasury shares climbed to 28.46 million. Total issued share capital remained unchanged at 972.51 million shares.

The buy-backs were executed under the mandate approved on 13 March 2026, which permits repurchase of up to 102.73 million shares. Cumulative repurchases under this authority now stand at 28.46 million shares, equivalent to 27.71% of the mandate and 2.77% of the company’s issued share count on the mandate date.

In line with Hong Kong Listing Rule 10.06, WeRide is subject to a moratorium on issuing new shares or selling treasury shares until 19 June 2026. The company confirmed that all repurchases complied with applicable regulations on both exchanges.
