Jul 07

TI Cloud Inc. has awarded 1.65 million restricted share units (RSUs) to 48 employees under its 10-year Share Incentive Plan adopted in May 2021. The grant, made on 7 July 2026, represents approximately 0.95 % of the company’s issued share capital.

Key terms
 • Volume and valuation: 1.65 million RSUs with an underlying share price of HK$3.33 on the grant date. • Cost to grantees: Nil consideration; purchase price of HK$4.10 per underlying share applies on vesting. • Vesting timetable: One-third each on 7 July 2027, 2028 and 2029. • Performance hurdles: – Company level – average revenue from AI-related solutions for FY 2026-2028 must grow more than 70 % versus FY 2025 for full vesting; 50-70 % growth allows partial vesting at the Board’s discretion; below 50 % growth results in cancellation. – Individual level – vesting of an employee’s allocation is aligned with annual performance grades (100 % for “Outstanding”, 80 % for “Good”, 60 % for “Satisfactory”, 0 % below “B-”). • Clawback: Awards lapse automatically upon breach of plan rules or actions detrimental to the Group. • Dilution impact: None. The shares were previously issued to the plan’s SPV, TI YUN Limited, so no new equity is created. After this grant, 1.13 million shares remain available for future awards.

Strategic rationale
Management aims to reinforce employee commitment to its AI-related solutions segment and bolster talent retention as the Group pursues high growth targets through FY 2028.
