Huishang Bank Corporation Limited announced that the National Financial Regulatory Administration Anhui Office has approved the bank’s amended Articles of Association (document reference Wan Jin Fu [2026] No. 46). The amended charter—combining earlier changes endorsed at the 2024 annual general meeting and the 2026 first extraordinary general meeting—takes effect immediately upon receipt of the regulatory approval dated 14 April 2026.
With the revised Articles in force, Huishang Bank has formally dissolved its Board of Supervisors. Oversight duties prescribed by the PRC Company Law and related regulations will now be performed by the Audit Committee under the Board of Directors. All committees under the former Board of Supervisors are simultaneously terminated, and the incumbent Supervisors have relinquished their positions. Each outgoing Supervisor confirmed the absence of disagreements with the bank and indicated no matters requiring notification to shareholders, creditors, or the Hong Kong Stock Exchange.
The Rules of Procedure of the Board of Supervisors and other governance documents tied to that body are repealed accordingly. As of the announcement date, the Board of Directors comprises one executive director, seven non-executive directors and six independent non-executive directors.
