Yum China marginally ups share count by 1,166 shares, buys back 55,761 shares for USD 2.70 million

Yum China Holdings, Inc. disclosed the following capital movements in its Next Day Disclosure Return filed on 4 August 2026:

1. New-share issuance • On 3 August 2026, the company issued 1,166 new ordinary shares to employees under long-term incentive plans at a reference price of USD 48.35 per share. • The issuance lifted total outstanding shares to 343.15 million, an immaterial 0.0003% increase from the 343.15 million shares in issue as of 31 July 2026.

2. Ongoing share repurchases • On 3 August 2026, Yum China repurchased 55,761 shares on the NYSE at prices between USD 47.99 and USD 49.09, spending USD 2.70 million. These shares are earmarked for cancellation. • Between 2 July and 3 August 2026, the company also conducted 24 on-market repurchases—22 in Hong Kong and 2 in the United States—totaling 603,138 shares (approximately 0.18% of current issued shares). All repurchased shares await cancellation. – Hong Kong repurchases: 484,850 shares at volume-weighted average prices ranging from HKD 323.99 to HKD 370.79. – U.S. repurchases: 118,288 shares at average prices of USD 47.98–48.46.

3. Repurchase mandate utilisation • The 28 May 2026 shareholder mandate authorises the purchase of up to 34.66 million shares. • Cumulative buybacks under this mandate now stand at 4.27 million shares, equivalent to 1.23% of the shares outstanding on the mandate date, leaving roughly 30.40 million shares still available for repurchase.

The latest transactions underscore Yum China’s continued execution of its capital-return programme while maintaining a virtually unchanged share count despite routine incentive-plan issuances.
