DICKSON CONCEPT Calls 6 Aug 2026 AGM to Approve FY 2026 Results, Final Dividend and 20% Issuance & 10% Buy-back Mandates

Dickson Concept (stock code: 00113) has issued its Notice of Annual General Meeting (AGM) to be held on 6 August 2026 at 11:30 a.m. in The Garden Room, The Royal Garden, Tsimshatsui East, Hong Kong. Key items on the agenda are as follows:

1. FY 2026 Results and Dividend • Shareholders will receive and consider the audited financial statements, Directors’ Report and Independent Auditor’s Report for the year ended 31 March 2026. • Board-recommended final dividend for FY 2026 is subject to shareholder approval; the register will close from 13–14 August 2026, with 14 August set as the record date for entitlement.

2. Board and Auditor Matters • Re-election of three retiring directors and determination of directors’ fees will be voted on separately. • Shareholders will also vote on the re-appointment of the Independent Auditor for the next financial year and authorise the Board to fix its remuneration.

3. Capital Management Mandates • General mandate to issue new shares (including sale/transfer of treasury shares) up to 20% of the company’s issued share capital (excluding treasury shares) as at the date of the AGM. • Separate mandate to repurchase shares representing up to 10% of issued share capital (excluding treasury shares) within the mandate period. • Conditional extension: the issuance mandate may be increased by the number of shares repurchased under the buy-back mandate, effectively adding up to a further 10% capacity.

4. Key Dates and Administrative Details • Shareholders’ register closure for AGM: 3–6 August 2026; record date 6 August 2026. • Proxy forms must be lodged with Tricor Investor Services Limited by 11:30 a.m. on 4 August 2026. • All AGM resolutions will be decided by poll in accordance with HKEX Listing Rules.

The Board currently has no immediate plans to issue additional shares or conduct share buy-backs; the proposed mandates are renewals of existing authorisations expiring at the forthcoming AGM.
