GBA AI COMP’s Unit Secures RMB1.69 Billion Sale-and-Leaseback with SPDB Financial Leasing

Greater Bay Area AI Computing Tech Co., Ltd. (GBA AI COMP; 01396) announced that its 70%-owned subsidiary, Shenzhen Hongrui Digital Innovation Technology, has signed three finance-lease (sale-and-leaseback) agreements with SPDB Financial Leasing on 13 August 2026.

Under the terms, SPDB Financial Leasing will purchase IT and ancillary equipment with a book value of RMB1.85 billion from Shenzhen Hongrui for approximately RMB1.69 billion, then lease the assets back to the subsidiary for 61–62 months. Aggregate lease payments total about RMB1.92 billion. Upon lease maturity and settlement of all obligations, Shenzhen Hongrui can repurchase the equipment for RMB1.

Security for the leases comprises: • Joint-and-several guarantees from Shenzhen Tiandun (a wholly owned unit), Chairman Luo Jieping and Executive Director Zhong Junhua, effective until three years after the final instalment falls due. • A pledge over Shenzhen Hongrui’s service-fee receivables, securing claims up to RMB1.92 billion.

Accounting treatment will record the transaction as financing rather than a disposal; no gain or loss is expected. Proceeds will fund further procurement of IT and ancillary equipment to meet rising demand for the group’s AI computing-power cloud services.

The deal follows four similar agreements signed in June-July 2026; combined, the transactions exceed the 5% but remain below the 25% threshold under Hong Kong Listing Rule 14.22, classifying the package as a discloseable transaction requiring public announcement but not shareholder approval.

GBA AI COMP highlighted robust order momentum: AI computing cloud service orders of over RMB15.00 billion were secured in 1H 2026, with an additional RMB7.00 billion obtained since 1 July 2026. The new financing is intended to underpin expansion of the company’s computing-power infrastructure and support execution of its growing project pipeline.
